Terms & Conditions

These Terms and Conditions ("T&Cs") govern all transactions, whether as purchaser or supplier, with Tekari Ltd ("Tekari", "we", "us", "I" or "our"), an IT value-add reseller and distributor. By placing an order with Tekari or supplying Tekari with products, you ("Customer" or "Supplier") agree to be bound by these T&Cs.

1. Acceptance of Terms
1.1. These T&Cs are automatically accepted in full by any party that places an order with Tekari or supplies products to Tekari.
1.2. No variation to these T&Cs shall be valid unless expressly agreed in writing by an authorised representative of Tekari.
2. Orders and Fulfilment
2.1. All orders are subject to availability and written confirmation by Tekari.
2.2. Once an order is confirmed, it is binding and cannot be cancelled, amended, or refunded under any circumstances.
2.3. Tekari reserves the right to reject or cancel any order at its sole discretion.
3. Pricing and Payment
3.1. All prices are quoted exclusive of VAT and any applicable duties unless otherwise stated.
3.2. Payment terms are strictly upfront, unless otherwise agreed in writing.
3.3. Late payments may incur interest at 5% daily until paid in full.
4. Title and Risk
4.1. Title and risk in the goods pass to the buyer once Tekari LTD chosen courier has collected the goods to be delivered to the buyers requested delivery address.
4.2. Tekari bears no responsibility for loss, damage, or misplacement of goods once the chosen courier has collected.
5. Warranties and Returns
5.1. Tekari passes through any manufacturer warranties where applicable but does not provide additional warranties unless explicitly stated.
5.2. No returns, cancellations, or refunds will be accepted unless the goods are proven to be faulty on delivery and reported within the same working day when delivered.
5.3. Tekari's liability for faulty goods is limited to repair, replacement, or refund at its discretion.
6. Resale and Subdistribution
6.1. Goods sold by Tekari may be resold or subdistributed by the Customer without restriction.
6.2. Suppliers expressly waive any rights to reclaim, restrict, or interfere with goods once delivered to Tekari, regardless of final destination or resale channel.
6.3. Tekari accepts no liability for the region, territory, or market in which goods may ultimately be sold, distributed, or used after supply to the Customer.
6.4. Tekari reserves the right to employ commercial strategies, including the manipulation of stock positioning and bid responses, to optimise sales opportunities, margin, and market competitiveness.
7. Intellectual Property
7.1. All trademarks, logos, and brand names remain the property of their respective owners.
7.2. Tekari does not grant any IP rights beyond the right to resell or use the products as intended.
8. Limitation of Liability
8.1. To the maximum extent permitted by law, Tekari shall not be liable for any indirect, incidental, consequential, or special damages, including loss of profits, data, or business.
8.2. Tekari’s total liability shall be limited to the value of the goods or services supplied under the relevant transaction.
9. Force Majeure
9.1. Tekari shall not be held liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, pandemics, strikes, supplier failures, or transport issues.
10. Confidentiality
10.1. Both parties agree to treat all commercial, pricing, and technical information received in the course of business as confidential and not to disclose it to third parties without prior written consent.
11. Governing Law and Jurisdiction
11.1. These T&Cs shall be governed by and construed in accordance with the laws of England.
11.2. Any disputes shall be subject to the exclusive jurisdiction of the courts in England.
12. Miscellaneous
12.1. If any provision of these T&Cs is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
12.2. These T&Cs constitute the entire agreement between the parties and supersede any prior agreements or understandings.
